1. Acceptance of Terms

By accessing or using StockJelli ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Nature of the Service — Not Financial Advice

StockJelli is an informational tool that surfaces publicly available market data, including price, volume, and momentum indicators, for educational and informational purposes only. StockJelli is not a registered investment adviser, broker-dealer, or financial planner under federal or state law. Nothing on this site, in any alert, notification, API response, or other communication from StockJelli constitutes investment, legal, tax, or financial advice, or a recommendation or solicitation to buy, sell, hold, or otherwise transact in any security or cryptocurrency.

StockJelli does not provide personalized advice. Signals, alerts, and data are generated algorithmically based on general market conditions and are not tailored to any individual user's financial situation, investment objectives, risk tolerance, or needs.

You are solely responsible for your own investment decisions and outcomes. Past performance of any indicator, signal, or screener result does not guarantee future results. Always do your own research and consider consulting with a qualified, licensed financial advisor before making investment decisions.

3. User Representations and Acknowledgments

By using the Service, you represent and warrant that:

• You understand that StockJelli provides informational data only and does not act as your financial adviser, broker, or fiduciary in any capacity.
• You are not relying on StockJelli, its signals, alerts, or data as the sole or primary basis for any investment or trading decision.
• You have sufficient knowledge and experience to evaluate the risks of any investment or trading activity you undertake.
• You are solely responsible for compliance with all applicable laws, regulations, and exchange rules in your jurisdiction related to your use of the Service and any trading activity.
• You will not represent to any third party that StockJelli has endorsed, recommended, or approved any trade, investment, or strategy.

4. Push Notifications and Alerts

StockJelli may offer push notifications and alerts as part of a paid subscription. These alerts notify you when certain publicly available market data crosses predefined, non-personalized thresholds (e.g., "Ticker X crossed momentum threshold Y"). Alerts are:

• Informational only — they are not buy signals, sell signals, trade recommendations, or calls to action.
• Non-personalized — alerts are generated based on general criteria applied equally to all subscribers and are not tailored to your individual portfolio, objectives, or financial situation.
• Not guaranteed — delivery, timeliness, and accuracy of alerts are not guaranteed. Alerts may be delayed, missed, or contain errors. You should not rely on the receipt or timing of any alert for trading purposes.

5. Webhook API — Additional Terms

StockJelli may offer a Webhook API that delivers momentum signal data programmatically. By accessing or using the Webhook API, you agree to the following additional terms:

• Raw data delivery: The Webhook API delivers raw, non-personalized signal data for informational purposes only. It does not constitute investment advice, a trade recommendation, or a solicitation to transact in any security or cryptocurrency.
• No execution control: StockJelli does not control, direct, or participate in any trading activity, order execution, or investment decision you or any automated system may make based on data received through the API.
• No guarantee of suitability: Data delivered via the API is not designed, tested, or warranted for use in automated trading systems. StockJelli makes no representation that its data is suitable for algorithmic or automated trade execution.
• User responsibility: You are solely responsible for any system, bot, algorithm, or process you build or operate using data from the Webhook API, including all trading outcomes, compliance with applicable securities laws, exchange rules, and best execution obligations.
• No redistribution as advice: You may not redistribute, resell, or repackage data received through the Webhook API as investment advice or trade recommendations to third parties without appropriate licensing and regulatory compliance. You may not represent that signals from StockJelli constitute professional financial advice.
• Latency and accuracy: API data is delivered on a best-effort basis. StockJelli does not guarantee delivery speed, uptime, accuracy, or completeness. You acknowledge that latency, downtime, and data errors may occur and that you assume all risks associated with acting on potentially delayed or inaccurate data.
• Rate limits and access: StockJelli reserves the right to impose rate limits, throttle access, or suspend API service at any time without notice.

6. Prohibited Uses

You agree not to:

• Abuse, disrupt, or attempt to harm the Service (e.g., DDoS attacks, hacking, or unauthorized access attempts).
• Scrape, crawl, or harvest data at unreasonable rates or in violation of any technical restrictions.
• Reverse engineer, decompile, or attempt to extract source code.
• Use the Service for any illegal purpose, including market manipulation, fraud, or insider trading.
• Impersonate others or provide false information.
• Resell, redistribute, or sublicense the Service, its data, or API access without prior written permission from StockJelli.
• Use StockJelli data to provide investment advisory services to third parties without appropriate regulatory registration and compliance.
• Represent or imply that StockJelli endorses, sponsors, or is affiliated with any third-party product, service, or trading strategy.

7. No Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee:

• The accuracy, completeness, or timeliness of any information, signal, or data.
• That the Service will be uninterrupted, secure, or error-free.
• That market data will be accurate or up-to-date (data may be delayed or contain errors).
• That alerts or API responses will be delivered on time or at all.
• That any signal, indicator, or screening result will produce profitable or favorable outcomes.

8. Limitation of Liability

To the maximum extent permitted by law, StockJelli and its operators, employees, and affiliates shall not be liable for any:

• Direct, indirect, incidental, special, consequential, or punitive damages.
• Trading losses, missed investment opportunities, or losses resulting from reliance on any signal, alert, or data.
• Loss of profits, data, or goodwill.
• Any damages arising from your use of or inability to use the Service, including the Webhook API.
• Any damages arising from unauthorized access to or alteration of your data or transmissions.

In no event shall StockJelli's total aggregate liability to you for all claims arising out of or related to the Service exceed the total amount you paid to StockJelli in the twelve (12) months immediately preceding the event giving rise to the claim. Your use of the Service is at your sole risk.

9. Indemnification

You agree to indemnify, defend, and hold harmless StockJelli and its operators, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service, including any trading or investment decisions you make.
• Your use of the Webhook API, including any automated systems or bots you build or operate.
• Your violation of these Terms of Service.
• Your violation of any applicable law, regulation, or third-party right.
• Any misrepresentation you make regarding StockJelli or its data to any third party.

10. Subscription and Payments

If you subscribe to StockJelli Alerts or the Webhook API:

• Pricing: Current pricing is listed on the site. Prices may change with notice.
• Billing: Subscriptions are billed monthly via Stripe. You authorize us to charge your payment method on a recurring basis.
• Cancellation: You may cancel at any time. Your subscription will remain active until the end of the current billing period.
• Refunds: We generally do not offer refunds for partial months. Contact us if you have concerns.
• Service changes: Alert features, API functionality, signal criteria, frequency, and content may change over time without notice.

11. Intellectual Property

All content, design, code, algorithms, signal methodologies, and trademarks on StockJelli are owned by us or our licensors. You may not copy, modify, distribute, or create derivative works without prior written permission.

12. Third-Party Services

The Service may contain links to or integrate with third-party services (e.g., TradingView, data providers, news sources). We are not responsible for the content, accuracy, or practices of these third parties. Your use of third-party services is subject to their respective terms and policies.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

14. Audit and Monitoring

StockJelli reserves the right to log, monitor, and audit usage of the Service, including API access patterns. We may suspend or terminate accounts that we reasonably believe are engaged in misuse, excessive load, market manipulation, unauthorized redistribution, or any activity that violates these Terms.

15. Termination

We may suspend or terminate your access to the Service at any time, for any reason, without notice. You may stop using the Service at any time. Upon termination, your right to access the Service and any data delivered through it ceases immediately.

16. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation by contacting us at support@stockjelli.com. If the dispute cannot be resolved informally within thirty (30) days, either party may initiate binding arbitration administered in the State of California in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs. You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

17. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

19. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated through the Service or via email. Continued use of the Service after changes means you accept the updated terms. We encourage you to review this page periodically.

20. Regulatory Compliance Notice

StockJelli is not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulatory authority as an investment adviser, broker-dealer, or in any other capacity. The Service is a general-purpose informational tool available to the public on equal terms. Nothing in the Service should be construed as creating an advisory, fiduciary, or broker-client relationship between StockJelli and any user.
